Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Headliner platform ("Platform"), operated by Knight Ops LLC ("Knight Ops," "we," "us," or "our"), a limited liability company organized under the laws of the State of Arizona. Headliner is accessible at headliner.space and through custom domains configured by event hosts.

By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Platform Description

Headliner is a multi-tenant, white-label event management software-as-a-service (SaaS) platform for live, virtual, and hybrid events. The Platform enables event hosts to create branded event experiences, sell tickets, manage attendees, facilitate networking, and deliver event content — all within a single, shared infrastructure operated by Knight Ops.

3. Account Types

The Platform supports three categories of users:

  • Platform Administrator: Knight Ops LLC personnel who manage the Platform infrastructure, tenant provisioning, and system-wide operations.
  • Event Host: Organizations or individuals who subscribe to the Platform to create and manage events. Each host operates within their own tenant, with a custom domain or subdomain, branded experience, and isolated data.
  • Attendee: Individuals who register for, attend, or interact with events created by hosts on the Platform.

4. Host Responsibilities

Event hosts are responsible for:

  • All content published through their tenant, including event descriptions, speaker information, media, and communications sent to attendees.
  • Compliance with all applicable local, state, national, and international laws and regulations, including but not limited to consumer protection, accessibility, and anti-discrimination laws.
  • Proper handling of attendee data collected through their events, in accordance with applicable privacy laws. Hosts act as the data controller for their attendees’ personal data (see our Data Processing Agreement).
  • Maintaining accurate and non-misleading event information, including dates, times, locations, pricing, and refund policies.
  • Ensuring that any third-party integrations or content used within their tenant comply with these Terms and applicable law.

5. Fees and Payment

5.1 Stripe Payment Processing

All payment processing on the Platform is handled by Stripe. Ticket revenue settles directly into each host’s own Stripe account. Stripe charges its standard processing fee of 2.9% + $0.30 per transaction, billed by Stripe directly to the host’s connected Stripe account. Knight Ops does not hold or process ticket revenue.

5.2 Headliner Platform Fee

In addition to Stripe’s processing fees, Knight Ops charges a platform fee on each ticket sale, based on the host’s subscription plan:

  • Solo plan: 1.5% per ticket sale
  • Studio plan: 1.0% per ticket sale
  • Unlimited plan: 0.5% per ticket sale

The platform fee is charged by Knight Ops and deducted at the time of each transaction.

5.3 Fee Changes

Fees are subject to change. Knight Ops will provide at least 30 days’ written notice before any fee changes take effect. Continued use of the Platform after the notice period constitutes acceptance of the revised fees.

6. Content Ownership

Hosts retain full ownership of all content they create, upload, or publish through the Platform, including event descriptions, images, videos, speaker profiles, and attendee communications.

By using the Platform, hosts grant Knight Ops a limited, non-exclusive, worldwide, royalty-free license to display, transmit, store, and process their content solely for the purpose of operating and providing the Platform services. This license terminates when the host’s content is deleted or their account is terminated.

7. Intellectual Property

The Headliner platform — including its software, design, architecture, branding, documentation, APIs, and all related intellectual property — is and remains the exclusive property of Knight Ops LLC. Nothing in these Terms grants any host or attendee any right, title, or interest in the Platform itself, beyond the limited right to use it as described herein.

8. Acceptable Use and Prohibited Conduct

You agree not to use the Platform to:

  • Send unsolicited bulk communications (spam) to attendees or other users.
  • Engage in fraud, misrepresentation, or deceptive practices, including selling tickets to events that do not exist or that materially differ from their description.
  • Publish, distribute, or facilitate access to illegal content, including content that infringes third-party intellectual property rights.
  • Scrape, crawl, or use automated means to extract data from the Platform without express written permission from Knight Ops.
  • Attempt to gain unauthorized access to other tenants’ data, accounts, or Platform infrastructure.
  • Use the Platform to harass, threaten, or discriminate against any individual or group.
  • Interfere with or disrupt the Platform’s infrastructure, security features, or other users’ access.

Knight Ops reserves the right to suspend or terminate any account that violates these provisions, with or without notice, depending on the severity of the violation.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Knight Ops LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, lost profits, loss of data, or business interruption, arising out of or related to your use of the Platform, regardless of the theory of liability.

Knight Ops’ total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you to Knight Ops during the twelve (12) months preceding the event giving rise to the claim.

The Platform is provided "as is" and "as available." Knight Ops makes no warranties, express or implied, regarding the Platform’s availability, reliability, accuracy, or fitness for a particular purpose.

10. Indemnification

You agree to indemnify, defend, and hold harmless Knight Ops LLC and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content you publish or transmit through the Platform.

11. Termination

Either party may terminate the service relationship by providing 30 days’ written notice to the other party.

Knight Ops reserves the right to terminate or suspend access immediately, without prior notice, for any material breach of these Terms, including but not limited to violations of the acceptable use provisions, fraud, or non-payment of fees.

Upon termination, the host’s tenant will be deactivated. Hosts may request export of their data within 30 days of termination. After that period, data will be deleted in accordance with our Privacy Policy.

12. Refund Policy

Refund policies for event tickets are set and managed by each individual event host. Headliner does not set, enforce, or guarantee any particular refund policy. Attendees seeking refunds should contact the event host directly.

Knight Ops is not responsible for disputes between hosts and attendees regarding refunds, cancellations, or event changes.

13. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be resolved by binding arbitration administered in Maricopa County, Arizona, in accordance with the rules of the American Arbitration Association then in effect.

The arbitration shall be conducted by a single arbitrator. The arbitrator’s decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.

Each party shall bear its own costs and attorneys’ fees in connection with the arbitration, unless the arbitrator determines otherwise.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of theState of Arizona, without regard to its conflict of law principles.

15. Changes to These Terms

Knight Ops may update these Terms from time to time. Material changes will be communicated with at least 30 days’ notice via email or through the Platform. Continued use of the Platform after the effective date of any changes constitutes acceptance of the updated Terms.
